Terms and Conditions

1. ABOUT THIS AGREEMENT

These Terms & Conditions govern all services and products provided by AI Her Way ("we", "us", "our") to clients, participants, and members. By engaging our services, purchasing a product, or signing up for a membership, you ("the Client") agree to be bound by these Terms.

Where a specific service agreement, proposal, or membership schedule has been signed, those terms apply in conjunction with these Terms. In the event of a conflict, the specific agreement takes precedence.

2. AI FOR IMPACT HUB MEMBERSHIP

2.1 Membership Plans and Terms

Annual (upfront). Members on the annual plan are charged a single upfront payment covering 12 months of membership. Membership automatically renews for a further 12-month period and payment is collected automatically unless you cancel in writing before your renewal date.

Quarterly. Members on the quarterly plan are charged every three months. A minimum commitment of 12 months applies, being four consecutive quarterly payments. After the initial 12-month period, membership automatically renews for a further 12-month term, billed quarterly, unless you cancel in writing before the start of your next 12-month term.

Both plans carry the same 12-month minimum term. Quarterly and annual are billing frequencies, not membership lengths. The annual rate is discounted in recognition of upfront payment.

Switching from quarterly to annual. Members on a quarterly plan may switch to annual billing at any point during their 12-month term. Upon switching, any unused portion of the current quarterly period is credited and the current annual rate is charged immediately, with a new 12-month annual term commencing from that date. Members who switch to annual billing mid-term may not revert to quarterly billing until their next renewal date.

14-day trial. Where a 14-day free trial has been made available to you, the trial period commences on the date of signup. If you do not cancel before the end of the 14-day trial period, your membership automatically continues on the plan selected at signup and your first payment is automatically collected.

A minimum 12-month commitment then applies from the date your paid membership commences.

By signing up for any AI for Impact Hub membership, you acknowledge and agree to these Terms, including the minimum commitment period, the automatic renewal conditions, and the payment obligations in clause 2.5.

2.2 Membership Tiers, Pricing and Price Protection

2.2.1 The AI for Impact Hub is offered in tiers. Current tiers, inclusions and rates are published at aiherway.com.au/hub and form part of these Terms.

2.2.2 Price protection. The rate you sign up at for your tier is locked for as long as you remain continuously on that tier, including across automatic renewals. We will not increase the price of your existing tier during or between your terms while your membership remains continuous.

2.2.3 Changing tiers. Where you move to a different tier, the current published rate for that tier applies from the date of the change. A rate previously available for that tier is not carried across, and a rate locked on your former tier does not transfer.

2.2.4 Upgrades. Upgrades take effect immediately. Any unused portion of your current billing period is credited against the upgrade. Your minimum term is not restarted by an upgrade.

2.2.5 Downgrades. Downgrades take effect at the start of your next billing period. Downgrading does not shorten or discharge your existing minimum term.

2.2.6 Lapsed memberships. Where a membership lapses, is cancelled, or is terminated, price protection ends. Rejoining at any later date is at the then-current published rate.

2.3 Team Memberships

2.3.1 Team memberships are available where two or more seats are purchased under a single organisation. Team discounts are applied per seat as published at aiherway.com.au/hub or as set out in a written quote.

2.3.2 Seats are allocated to named individuals and are subject to clause 2.11 (personal use and non-transfer). Seats may be reassigned to a different named individual once per 12-month term at no charge, on written request, where the original seat holder has left the organisation or changed roles.

2.3.3 The organisation named on the invoice is responsible for payment of all seats for the full minimum term, regardless of whether individual seats are used, and regardless of staff departures during the term.

2.3.4 Seats added mid-term are co-terminous with the existing team term and are charged pro rata to the shared end date.

2.4 Cooling Off Period

2.4.1 A 7-day cooling off period applies to all new AI for Impact Hub memberships purchased directly. This period commences on the date of purchase, not the date of first access.

2.4.2 Where you joined via a 14-day trial, the trial period in clause 2.1 applies in place of the 7-day cooling off period. Cancelling at any point before the end of the trial ends the membership with no charge. The 7-day cooling off period does not apply in addition to a trial.

2.4.3 To exercise your right to cancel under the cooling off period, you must notify us within 7 calendar days of your purchase date, either through the member portal at portal.aiherway.com.au or by emailing [email protected]. Either method is accepted. Your notification must include your full name and the email address used to purchase.

2.4.4 Refund requests are acknowledged within 2 business days and processed within 5 business days of approval. Refunds are returned to the original payment method. Please allow up to 10 business days for funds to appear, depending on your financial institution.

2.4.5 The cooling off period applies to your first purchase only and does not apply to membership renewals, tier changes, or rejoining after a previous membership.

2.4.6 Once the cooling off period or trial period has expired, the cancellation terms in clause 2.6 apply.

2.5 Payments, Arrears and Recovery

2.5.1 All membership fees are exclusive of GST unless otherwise stated. Payment processing fees apply and are payable by the member.

2.5.2 Members are responsible for maintaining a valid payment method on their account for the duration of the minimum term. Removing, cancelling or allowing a payment method to expire does not suspend, reduce or discharge any payment obligation.

2.5.3 Where a payment fails or remains unpaid, access to the AI for Impact Hub may be suspended until the outstanding amount is resolved. Ai Her Way reserves the right to cancel a membership after two consecutive failed payment attempts.

2.5.4 Suspension or cancellation of access does not discharge the obligation to pay. All instalments falling within the minimum 12-month term remain payable in full, and any amount outstanding is recoverable as a debt due to Ai Her Way.

2.5.5 Invoices are payable within 7 days of issue. Amounts outstanding for more than 30 days may incur a late fee of 3% per month, calculated on the outstanding balance.

2.5.6 Amounts outstanding for more than 60 days, where the member has not responded to written contact or entered into an agreed payment arrangement, may be referred to a third party debt recovery service. Reasonable costs incurred in recovering an outstanding amount, including collection agency and legal costs, are payable by the member.

2.5.7 Hardship. Ai Her Way will always seek to resolve payment difficulties directly first. Members experiencing financial hardship are encouraged to contact [email protected] before an account falls into arrears. We may, at our discretion, offer a pause, an extended payment arrangement, or another accommodation. Requests are considered in good faith and confidentially.

2.5.8 Chargebacks. Where a member initiates a chargeback or payment dispute in respect of an amount properly payable under these Terms, access may be suspended immediately pending resolution. Where the chargeback is unsuccessful or is found to have been raised without reasonable grounds, any fees charged to Ai Her Way by the payment provider are payable by the member in addition to the original amount.

2.5.9 Rejoining after non-payment. Where a membership has been cancelled or suspended for non-payment, any subsequent membership is at Ai Her Way's discretion and is subject to the rates current at the time of rejoining, payable in full and upfront. Any amount outstanding from the previous membership must be settled before a new membership will be granted.

2.6 Cancellation

2.6.1 To cancel your membership outside the cooling off or trial period, you may do so through the member portal at portal.aiherway.com.au or by emailing [email protected]. Either method is accepted, and cancellation is actioned from the date we receive your written request.

2.6.2 All current memberships run on a 12-month minimum term, regardless of whether you pay annually or quarterly. Cancellation stops the membership from automatically renewing. It does not end the current term, and it does not discharge instalments falling within that term.

2.6.3 Quarterly members may not cancel before the end of their fourth quarterly payment. Cancellation takes effect at the end of the current 12-month period. Access remains active until that date.

2.6.4 No partial refunds are provided for unused time within a current term or billing cycle.

2.6.5 Trial members. Where you signed up via a 14-day trial, you must cancel before the end of the trial period to avoid being charged.

2.6.6 Legacy month-to-month members. If you joined under a previous month-to-month plan, you may cancel at any time and access continues until the end of your current billing period. Month-to-month membership is no longer available as a new or rejoining option. If you rejoin after cancelling, membership is on current terms only.

2.6.7 A paused membership may still be cancelled. Cancellation takes effect at the end of the current extended 12-month term. Pausing does not create a right to cancel before the end of the minimum term.

2.7 Membership Pause

2.7.1 Members with an active membership in good standing may pause their membership once per 12-month term, for a continuous period of between one and three whole months, free of charge.

Eligibility

One pause per 12-month membership term.

The pause must be a single continuous block of one to three whole months.

Pauses are not ordinarily available during the first 90 days of a membership term, or during the final 60 days before the term end or renewal date. Ai Her Way may waive these windows at its discretion, including in cases of illness, bereavement or financial hardship.

The account must be in good standing, with no failed or outstanding payments, at the time the pause is requested.

2.7.2 Effect on your term. Your 12-month term is extended by the full length of the pause, so your total membership remains 12 active months across a longer calendar window. A pause does not reduce total fees payable and is not a refund or a substitute for cancellation.

2.7.3 Effect on access. All membership access, including The Collective, courses and live sessions, is suspended for the duration of the pause and reinstated automatically on the agreed resume date. No progress or content is lost. No credit or compensation is provided for live sessions or events occurring during a pause.

2.7.4 Effect on billing.

Quarterly members: the pause takes effect at the end of the quarter already paid for. Subsequent quarterly payment dates shift forward by the length of the pause.

Annual members: your access end date and renewal date shift forward by the length of the pause, and any automatic renewal charge moves out accordingly.

2.7.5 Requesting a pause. Requests must be made in writing to [email protected] with at least 7 days notice before your next billing date, stating your requested start date and pause duration. Membership resumes automatically on the agreed resume date.

2.7.6 Plan changes cannot be made while a membership is paused. Any upgrade or downgrade request is processed on resume. This pause facility is separate from, and does not extend or affect, the cooling off period in clause 2.4.

2.8 Content, Curriculum and Platform

2.8.1 The AI for Impact Hub is a live and evolving membership. Content, curriculum, frameworks, tools and platform features are updated, added, restructured and retired over time so that the material remains current in a fast-moving field.

2.8.2 Published rollout schedules, release dates and forthcoming content are indicative and provided in good faith. They are not guarantees, and are subject to change without notice. Membership is not conditional on the release of any particular item of content.

2.8.3 Ai Her Way may modify or discontinue any individual feature, session format, tool or piece of content. Where a change materially reduces the overall value of a membership tier, we will notify affected members and offer a reasonable remedy.

2.8.4 Access to the Hub requires a compatible device and internet connection. Third party tools and platforms taught within the Hub are subject to their own terms, pricing and availability, which are outside our control. Membership does not include licences or subscriptions to any third party tool.

2.9 Support and Community

2.9.1 Hub membership includes community-based support through The Collective and, where included in your tier, live group sessions. It does not include one-to-one consulting, individual account management, bespoke system builds, or technical support for third party platforms.

2.9.2 Our team monitors The Collective during Australian business hours, Monday to Friday. We do not provide support on weekends or Australian public holidays. Response times are indicative rather than guaranteed.

2.9.3 Where a member requires individual, one-to-one support, this may be available as a separate paid engagement under section 4.

2.10 Community Standards

2.10.1 By accessing the AI for Impact Hub, members agree to comply with the AI for Impact Hub Community Guidelines & Code of Conduct, which form part of these Terms and are incorporated by reference.

2.10.2 Ai Her Way reserves the right to suspend or terminate a member's access without refund where the Community Guidelines are breached, including conduct involving harassment, discrimination, spam, or misuse of community spaces. The decision to terminate access under this clause is at Ai Her Way's sole discretion.

2.11 Personal Use, Transfers and Non-Resale

2.11.1 AI for Impact Hub memberships are strictly personal to the member and are non-transferable and non-resaleable. Login credentials and access must not be shared, sold, gifted, assigned, or otherwise made available to any other person or organisation.

2.11.2 Ai Her Way reserves the right to suspend or terminate a membership without refund where it reasonably believes a membership has been shared, sold, transferred, or otherwise used in breach of this clause.

2.12 Complimentary and Gifted Access

2.12.1 Complimentary, gifted, scholarship or promotional access to the AI for Impact Hub is granted at Ai Her Way's sole discretion, for a defined period stated at the time of the grant.

2.12.2 Complimentary access is personal to the named recipient, non-transferable, carries no cash or refund value, and may be varied or withdrawn at any time.

2.12.3 Complimentary access does not create a membership term, does not attract price protection under clause 2.2, and does not convert to a paid membership unless the recipient separately signs up on current published terms.

2.13 Refusal of Future Service

2.13.1 Ai Her Way reserves the right to decline any future purchase, membership, enrolment or engagement, at its discretion, where a person or organisation has previously:

Defaulted on amounts payable to Ai Her Way that remain outstanding and unresolved

Initiated a chargeback or payment dispute without reasonable grounds in respect of an amount properly payable

Had a membership terminated for breach of the Community Guidelines or of clause 2.11 or 5.1A

2.13.2 Where a purchase is declined under this clause, any payment made is refunded in full and access is not granted.

2.13.3 Reinstatement. This is not a permanent exclusion. Where the outstanding amount is settled in full, or the underlying issue is otherwise resolved to our reasonable satisfaction, eligibility to purchase is restored. Ai Her Way may require future purchases to be made upfront rather than by instalment.

2.13.4 A person who believes a decision under this clause has been made in error may contact [email protected] and we will review it.

2.13.5 Records. Ai Her Way maintains internal records of accounts in default for the purpose of administering this clause. These records are personal information and are handled in accordance with our Privacy Policy and the Australian Privacy Principles. They are retained only for as long as necessary for this purpose, are not disclosed to third parties other than a debt recovery service engaged under clause 2.5.6, and do not constitute credit reporting.

3. SPEAKING & WORKSHOPS

3.1 Securing a Booking A non-refundable deposit is required to secure all speaking and workshop bookings. The deposit amount will be specified in your proposal or invoice. No booking is confirmed until the deposit has been received.

3.2 Payment Terms For speaking and keynote engagements, the remaining balance (80% of the total fee plus any applicable travel costs) is due within 7 days post-event. Workshop payment terms will be outlined in the relevant proposal or invoice. All fees are exclusive of GST unless otherwise stated. Stripe transaction fees apply and are payable by the Client. Invoices are payable within 7 days of issue unless otherwise agreed.

3.3 Cancellations — In-Person Engagements

More than 30 days before the event: The deposit is retained. No further engagement fee is payable. Travel fees are refundable only if travel has not yet been booked.

Between 14 and 30 days before the event: 50% of the total engagement fee is payable. The deposit is credited toward this amount. Travel fees are non-refundable once travel has been booked.

Less than 14 days before the event: 100% of the total engagement fee is payable. All travel fees remain fully payable. All non-recoverable travel costs are the responsibility of the Client.

3.4 Cancellations — Virtual Engagements The deposit is non-refundable. Where cancellation occurs less than 14 days but more than 7 days before delivery, 50% of the total engagement fee is payable. Where cancellation occurs less than 7 days before delivery, 100% of the total engagement fee is payable.

3.5 Cancellation by AI Her Way — Standard If AI Her Way cancels other than due to force majeure, all amounts paid including the deposit and travel fees will be refunded in full.

3.6 Cancellation by AI Her Way — Force Majeure Where cancellation is due to illness, flight disruption, natural disaster, or government restrictions, AI Her Way will seek to reschedule. The deposit will be retained and credited to the rescheduled date. Travel fees will be retained only where already incurred and non-recoverable. If no alternative date is agreed, all other amounts will be refunded.

3.7 Rescheduling Date change requests will be considered in good faith. The Client is responsible for any costs incurred as a result of rescheduling, including travel change fees or rate increases. Rescheduling requests must be made in writing.

3.8 Travel & Expenses Travel and related expenses for all in-person engagements are charged as a flat travel fee based on the duration and complexity of the engagement, in accordance with the AI Her Way Travel & Delivery Guidelines. Travel fees are invoiced upfront and are not subject to post-event reconciliation unless otherwise agreed in writing.

Business Class is the standard for all flights over three (3) hours unless otherwise agreed in writing. By engaging AI Her Way for in-person delivery, the Client acknowledges and accepts the terms outlined in the

Where a booking requires departure before 7:00am or after 7:00pm, a personal driver fee of $1,200 + GST (return) applies in addition to the relevant travel fee, in accordance with the AI Her Way Travel & Delivery Guidelines.

Where flights or accommodation are booked directly by the Client, the travel fee still applies unless explicitly waived in writing. Travel time is not complimentary and is factored into the applicable travel fee.

3.9 Virtual Delivery For virtual events, the Client must provide and manage access to the preferred platform (e.g., Zoom, Teams). Platform access links must be shared no later than 48 hours before the scheduled event.

3.10 Recordings Clients may record sessions for internal use only. All content, slides, and materials remain the intellectual property of AI Her Way and Dr. Nici Sweaney.

4. CONSULTING & ADVISORY

4.1 Engagements & Minimum Term Consulting engagements run for a minimum of three (3) months unless otherwise specified in writing. The complexity, feasibility, and full scope of AI strategy, governance, and automation work cannot always be determined until discovery is complete. Deliverables, timelines, and implementation depth will be confirmed or re-scoped following Stage One (Discovery).

4.2 Stage One: Discovery Discovery constitutes a standalone, chargeable professional service. Discovery fees are earned upon delivery and are non-refundable, regardless of whether the engagement proceeds to subsequent stages.

4.3 Payment Terms Following the deposit, remaining fees are invoiced monthly in advance unless a fixed-price schedule has been agreed in writing. All fees are exclusive of GST unless otherwise stated. Invoices are payable within 7 days of issue. Late payments incur a 3% monthly late fee. Stripe transaction fees apply and are payable by the Client.

4.4 Revisions & Scope Each deliverable includes up to two (2) rounds of revisions unless otherwise agreed. Additional revisions may incur extra fees and extend timelines. Scope change requests must be submitted in writing and approved by AI Her Way before additional work commences.

4.5 Client Responsibilities The Client agrees to provide timely access to relevant systems, data, and personnel. Responses to approvals, questions, and action items must be made within five (5) business days. Delays caused by the Client may impact agreed timelines and AI Her Way is not liable for such delays or their consequences.

4.6 Non-Responsiveness If the Client fails to respond, provide access, or engage meaningfully for 14 consecutive days, AI Her Way may suspend work and/or issue an invoice for work completed to date. Suspension does not pause payment obligations. If non-responsiveness continues for 30 consecutive days, AI Her Way may terminate the agreement by written notice. All outstanding fees remain immediately payable.

4.7 Termination Following the minimum term, either party may terminate with 30 days' written notice. If the Client terminates before the end of the minimum term, all remaining fees for that term become immediately due and payable. Fees already paid are non-refundable.

4.8 ROI Guarantee AI Her Way offers a results-based guarantee contingent upon the Client's active collaboration and appropriate use of delivered tools and recommendations. If original agreed outcomes are not met under these conditions, AI Her Way will continue working at no additional charge until those outcomes are achieved. This guarantee does not apply where the Client has not followed recommendations, has not met their obligations under this agreement, or where outcomes are dependent on third-party platforms or external factors outside AI Her Way's control.

5. GENERAL TERMS (ALL SERVICES)

5.1 Intellectual Property AI Her Way retains ownership of all pre-existing IP, methodologies, frameworks, and tools. For consulting engagements, project-specific deliverables transfer to the Client upon full payment. The Client receives a non-exclusive, internal-use licence to final deliverables. AI Her Way retains a perpetual, royalty-free licence to reuse general methodologies and anonymised learnings.

5.1A AI for Impact Hub - Membership Content & Intellectual Property

All content, materials, frameworks, methodologies, templates, tools, resources, training videos, recorded sessions, written guides, AI Role Cards, workflow blueprints, operating system frameworks, community posts by Ai Her Way staff, and any other materials made available within the AI for Impact Hub membership platform (collectively, "Hub Content") are the sole intellectual property of Ai Her Way Pty Limited (ABN 61 681 646 220) and Dr Nici Sweaney.

By accessing the AI for Impact Hub, members acknowledge and agree to the following:

Permitted use

Members may access and use Hub Content for their own personal or internal business purposes during their active membership period. Members may apply the frameworks, methodologies, and learnings from Hub Content to build their own internal systems, workflows, automations, and AI tools. Any systems, automations, or outputs a member builds on their own devices, platforms, or within their own business using concepts learned in the Hub are owned by that member.

Prohibited use

Members must not, without prior written consent from Ai Her Way:

- Copy, reproduce, download, screenshot, or extract Hub Content for distribution to third parties

- Share, resell, sublicense, or otherwise make Hub Content available to individuals who are not active members

- Use Hub Content - including frameworks, methodologies, templates, or any derivative of these - as the basis for their own commercial training - programs, courses, workshops, or educational products

- Present, teach, or deliver Hub Content or substantially similar material to paying audiences or clients without written consent from Ai Her Way

- Share login credentials or grant access to the member platform to any other person

- Upload, post, or transmit Hub Content to any external platform, social media channel, or public forum

Recordings and live sessions

All recorded content within the Hub - including Build Club sessions, AI Showcases, onboarding calls, and any other live or pre-recorded sessions - remains the intellectual property of Ai Her Way. Members must not record, re-record, or re-distribute these sessions in any form.

Community contributions

Where members contribute to The Collective community space within the Hub - including posts, comments, resources, or other content - they retain ownership of their own contributions. By posting within The Collective, members grant Ai Her Way a non-exclusive, royalty-free licence to reference, share, or feature their contributions within the Hub or in Ai Her Way marketing materials, unless the member expressly requests otherwise in writing.

Enforcement

Ai Her Way reserves the right to terminate a member's access immediately and without refund where a breach of these intellectual property terms is identified. Ai Her Way further reserves the right to pursue any remedies available under applicable law in respect of any unauthorised use, reproduction, or distribution of Hub Content.

Survival

These intellectual property obligations survive the termination or expiry of a member's membership and continue to apply indefinitely following the end of the membership period.

5.2 Confidentiality Both parties agree to keep confidential any proprietary or sensitive information shared under this agreement. Confidential information may not be disclosed to third parties without written consent, except where required by law. Upon request or project completion, all confidential materials must be returned or securely destroyed.

5.3 Data Protection AI Her Way will take reasonable steps to protect client data and comply with relevant data protection legislation. AI Her Way is not liable for data breaches beyond its control or caused by third-party platforms. Upon completion or termination, client data will be returned or destroyed within 180 days unless otherwise agreed.

5.4 Third-Party Platforms AI Her Way may use or recommend third-party tools and platforms to deliver services. AI Her Way is not responsible for the performance, availability, or failure of these tools. Any applicable third-party terms remain the Client's responsibility to comply with.

5.5 Subcontractors AI Her Way may engage subcontractors for specialised support. All subcontractors are subject to confidentiality obligations. AI Her Way remains fully accountable for the quality of work delivered.

5.6 Liability AI Her Way is not liable for indirect or consequential loss, including loss of profits or data. Total liability is capped at fees paid to AI Her Way in the six (6) months prior to the claim. AI Her Way is not responsible for decisions made by the Client following advice provided.

5.7 Force Majeure Neither party is liable for failure to perform due to events outside their reasonable control, including natural disasters, pandemics, government restrictions, or internet outages. Affected parties must notify the other as soon as reasonably possible.

5.8 Dispute Resolution Parties agree to resolve disputes via good-faith discussion and mediation before initiating legal proceedings. Unresolved disputes will be settled by arbitration under the laws of New South Wales, Australia. Legal costs may be recovered by the prevailing party.

5.9 Accessibility & Non-Discrimination AI Her Way delivers all services free from discrimination of any kind and in compliance with applicable accessibility regulations.

5.10 Governing Law These Terms are governed by the laws of New South Wales, Australia. Changes to these Terms must be documented in writing. Electronic signatures are considered valid and binding. If any provision is deemed unenforceable, the remaining provisions remain in full effect.

5.11 Review & Updates These Terms may be updated periodically to reflect operational or legal changes. The current version will always be available at aiherway.com.au/terms-and-conditions. Continued use of AI Her Way services following an update constitutes acceptance of the revised Terms.

6. AFFILIATE PROGRAM TERMS

6.1 Eligibility

The AI Her Way Affiliate Program is open to individuals and organisations who wish to promote AI Her Way products and services using a unique referral link.

By applying to the Affiliate Program, you confirm that:

You are legally able to enter into a binding agreement

The information you provide during signup is accurate and complete

You will promote AI Her Way products honestly and in good faith

AI Her Way reserves the right to approve or decline any affiliate application at its sole discretion.

6.2 Affiliate Links

Once approved, affiliates will receive a unique referral link via email.

Affiliates are responsible for using their unique link when promoting AI Her Way products. Sales are tracked automatically through this link.

AI Her Way is not responsible for commissions where:

The affiliate link was not used

Tracking was blocked or removed by the customer

The purchase occurred outside the tracked link

6.3 Commission Structure

Unless otherwise specified in writing, affiliates receive:

20% commission on the first payment only for eligible purchases made through their affiliate link.

Commission applies only to the initial transaction

Recurring subscription renewals are not commissionable

Commission amounts vary depending on the product purchased

AI for Impact Hub Quarterly: commission applies only to the first quarterly payment

AI Her Way may update commission rates or campaign structures at any time. Affiliates will be notified of any material changes.

6.4 Commission Payments

Commissions are payable only after the following conditions are met:

The sale has been successfully completed

Any applicable refund periods have expired

Payment has been received in full from the customer

If a customer refund, chargeback, or payment dispute occurs, the associated commission will not be payable.

AI Her Way reserves the right to withhold or reverse commissions that arise from:

Fraudulent transactions

Self-referrals

Breaches of these Terms

Payment schedules, minimum payout thresholds, and payment methods will be communicated separately to affiliates.

6.5 Prohibited Promotion Methods

Affiliates must not:

Make misleading or exaggerated claims about AI Her Way products

Misrepresent themselves as employees or representatives of AI Her Way

Use spam, unsolicited messaging, or deceptive advertising

Use paid advertising targeting AI Her Way brand terms without written permission

Offer unauthorised discounts or incentives

Affiliates must represent AI Her Way products accurately and ethically at all times.

6.6 Brand Use

Affiliates may reference AI Her Way and its products when promoting using their affiliate link.

However:

AI Her Way logos, brand assets, and materials must not be altered

Affiliates must not create the impression of official partnership, employment, or endorsement beyond participation in the affiliate program

AI Her Way reserves the right to request removal or modification of promotional materials at any time.

6.7 Termination

AI Her Way may terminate an affiliate’s participation in the program at any time if:

These Terms are breached

Fraudulent or unethical promotion is detected

Activity is deemed harmful to the brand

Upon termination:

Future commissions will cease immediately

Outstanding commissions may be withheld where a breach has occurred

6.8 Changes to the Affiliate Program

AI Her Way may modify, suspend, or discontinue the Affiliate Program at any time.

Where possible, affiliates will receive reasonable notice of material changes.

6.9 Acceptance of Terms

By registering for the AI Her Way Affiliate Program, you confirm that you have read and agree to these Affiliate Terms and the broader AI Her Way Terms & Conditions.
